HSJ.HOST Website Design & Development Services Agreement
Introduction:
This Website Design & Development Services Agreement ("Agreement") details the terms and conditions between HSJ.HOST ("Company", "we", "us", "our") and the client ("Client", "you", "your") pertaining to the website design and development services offered by HSJ.HOST.
1. Scope of Services:
- Website Design: Crafting a visually appealing, responsive, and user-friendly design tailored to the Client's requirements.
- Development: Building a functional website using the agreed-upon platform or technology, ensuring it is optimised for speed and compatibility across devices.
- Content Integration: Incorporating the content (text, images, videos) provided by the Client into the website.
2. Client Responsibilities:
- Content Provision: Supplying all necessary content for the website in a timely and organised manner.
- Feedback: Providing timely feedback and approvals at various stages of the project.
- Access: Granting necessary access to hosting, domain, and other related services if required.
3. Timeline:
A project timeline will be established, detailing major milestones such as design approval, beta launch, final revisions, and official launch.
4. Payments:
- A detailed breakdown of costs will be provided to the Client.
- Payments are typically structured with an upfront deposit, progress-based payments, and a final payment upon project completion.
5. Revisions:
A specified number of revisions will be included in the project scope. Additional revisions beyond this number may incur extra charges.
6. Intellectual Property:
Upon full payment, all rights to the design and code of the developed website will be transferred to the Client. Any third-party assets used (e.g., stock photos) may have their licensing terms.
7. Maintenance and Support:
Post-launch support will be provided for a specified duration, after which ongoing maintenance can be arranged for an additional fee.
8. Termination:
Either party may terminate the agreement with written notice under specified circumstances, such as a breach of terms. Upon termination, any work completed must be paid for.
9. Limitation of Liability:
HSJ.HOST will not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the developed website. Our total liability under this Agreement shall not exceed the amount paid by the Client for the design and development services.
10. Confidentiality:
Both parties agree to maintain the confidentiality of all proprietary information and not disclose it to any third party without written consent.
11. Governing Law:
This Agreement is governed by the laws of the Commonwealth of Australia. Any disputes arising from this Agreement will be resolved under the jurisdiction of Australian courts.
By commissioning website design & development services from HSJ.HOST, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
